We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of Services.
3. Eligibility
To use our Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. Our Services are intended for businesses, cooperatives, and financial institutions operating lawfully within their jurisdictions.
You must be a duly incorporated entity or an authorised representative thereof
You must be legally permitted to use financial technology services in your jurisdiction
You must not be a person or entity prohibited from accessing our services by applicable law
You must provide accurate and complete information during registration
4. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security at info@toplorgical.com. We will not be liable for any loss or damage arising from your failure to comply with these obligations.
You may not share your account credentials with others or use another person's account without permission. You are solely responsible for all activity that occurs under your account.
5. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
In any way that violates any applicable national or international law or regulation
To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
To impersonate or attempt to impersonate the Company, a Company employee, or another user
To engage in any data mining, data harvesting, data extracting, or any other similar activity
To introduce any viruses, trojan horses, worms, or other material which is malicious or technologically harmful
To attempt to gain unauthorised access to any part of the Services or any server, computer, or database connected to the Services
To use the Services to facilitate any form of fraud, money laundering, or other financial crime
6. Intellectual Property
The Services and their original content, features, and functionality are and will remain the exclusive property of Toplorgical Nigeria Limited and its licensors. Our trademarks, service marks, and trade names may not be used in connection with any product or service without the prior written consent of Toplorgical.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services strictly in accordance with these Terms. You shall not reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without express written permission from us.
7. Payments & Billing
Certain Services may be subject to payments. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. All fees are quoted in Nigerian Naira (NGN) unless otherwise stated and are exclusive of applicable taxes.
Billing Cycle
Fees are billed in advance on a monthly or annual basis depending on your subscription plan.
Late Payments
Unpaid invoices may result in suspension or termination of your account after a 14-day grace period.
Refunds
Refunds are considered on a case-by-case basis. Contact us within 7 days of billing if you believe an error occurred.
Price Changes
We reserve the right to modify pricing with 30 days advance notice via email or in-platform notification.
8. Disclaimers
The Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranty of any kind, express or implied. Toplorgical does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
We do not warrant that the information provided through our Services is accurate, complete, reliable, current, or error-free. The Services are not intended to constitute financial, legal, or professional advice. Always consult a qualified professional before making decisions based on information obtained from our Services.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Toplorgical Nigeria Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Services.
In no event shall our aggregate liability to you exceed the greater of (a) the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred thousand Nigerian Naira (₦100,000).
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
We encourage resolution of disputes through direct negotiation in the first instance. If a dispute cannot be resolved amicably, the parties may seek mediation before resorting to litigation.
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.
You may also terminate your account at any time by contacting us. Termination will not relieve you of any outstanding payment obligations accrued prior to termination.
12. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any significant changes by updating the "Last Updated" date and, where appropriate, notifying you via email or a prominent notice on our website. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
